MHI to Transfer Mechatronics System Product Business to MHI-MS

Absorption-type Company Split Agreement Signed Today

Tokyo, Feb 3, 2012 - (JCN Newswire) - Mitsubishi Heavy Industries, Ltd. (MHI) will transfer its mechatronics system product business of the Transportation System & Advanced Technology Division to Mitsubishi Heavy Industries Mechatronics Systems, Ltd. (MHI-MS), a wholly-owned subsidiary of MHI in Kobe, Hyogo Prefecture, effective April 1, 2012. Today MHI and MHI-MS signed an absorption-type company split agreement. The initiative aims to enhance efficiency of mechatoronics system product business and strengthen the capability to respond to customers by establishing a structure to handle the entire process from installation of equipment to after-sale services by integrating the various functions into MHI-MS.

The businesses, which MHI-MS will succeed from MHI's mechatronics system product business through this company

split, include the marketing, design, manufacturing, construction and related works of the culture, sports and leisure facilities as well as steel penstock, aerodynamic wind tunnel equipment and water tank testing facilities and bio-ethanol production facilities.

Concerning the mechatronics-system product business, MHI has been handling the new installations while MHI-MS has been providing after-sale service work, respectively. Each company has established a solid track record by handling a multitude of projects. However, as the domestic market matures, further strengthening of competitiveness and dynamic business development are required. Under these conditions, MHI decided to establish a structure capable of responding to changes in business circumstances by integrating functions such as marketing, design and construction for both new installations and after-sale services.

MHI-MS has been handling development, design, manufacturing and after-sale services for water treatment and dust collection systems, shield tunnel boring machine, toll-collection machinery and test/inspection systems. The company was established in October 2009 through the merger of five companies, all wholly-owned by MHI.

MHI will closely liaise with MHI-MS and fully support its business development.
