ARCADIS (EURONEXT: ARCAD), a leading international consultancy, design,
engineering and management services company, today announced that Mr. Niek Hoek,
has been nominated for a position on its Supervisory Board at the General
Meeting of Shareholders to be held on May 7, 2013. Mr. Hoek will fill the
vacancy that arose by the untimely death of Mr. Gerrit Ybema. The company also
announced that Mr. Zack Smith, has been nominated for appointment on its
Executive Board. Mr. Smith will succeed Mr. Steven Blake, member of the
Executive Board and CEO of ARCADIS US who has chosen to retire at the end of his
current term. As Executive Board member Mr. Smith will also assume
responsibility for Latin America. The roles of Mr. Blake will be split, creating
a separate position of
CEO for ARCADIS US for which Mr. Gary Coates will be
appointed to succeed Mr. Blake as of May 31, 2013. The Supervisory and Executive
Board nominations are subject to shareholder approval during the upcoming
General Meeting of Shareholders to be held on May 7, 2013 in Amsterdam, the
Netherlands. The documents for this shareholder meeting will be published on
ARCADIS' website at www.arcadis.com as of March 26, 2013.
Mr. Niek Hoek (1956) has been Chairman of the Executive Board of Delta Lloyd NV
since 2001 and a member of its Executive Board since 1997. Delta Lloyd is a
Dutch-based company that offers a broad variety of financial products and
services including insurance, asset management and banking. Prior to joining
Delta Lloyd, Mr. Hoek worked 17 years for Shell in the Netherlands, UK, Malaysia
and Uruguay. Mr. Hoek was CEO of Shell Uruguay and Chief Investment Officer of
the Shell Pension Fund in The Netherlands. Mr. Hoek is a Supervisory Board
member at NIBC Holding NV.
Mr. Zack Smith (1956), is currently Chief Strategy and Sales Officer for ARCADIS
US and a member of the board of ARCADIS Logos in Brazil. He has more than 29
years of experience managing and directing management teams to successfully
provide a wide range of environmental services for large facilities throughout
the US and was President of the Environment Division of ARCADIS US during 2011.
Mr. Smith holds a BSc and MSc in environmental engineering and has extensive
knowledge of the US and South American markets, which makes him a very suitable
candidate for membership of the Executive Board.
Mr. Gary Coates (1951) currently holds the position of Chief Operating Officer
for ARCADIS US, a role which he will retain in addition to his new role as CEO
of ARCADIS US. Mr. Coates started his career in 1973 and joined ARCADIS in
1989. He has 37 years of diverse experience in operational management and
national and international business development. As the Chief Operating Officer
of ARCADIS US he is responsible for managing operations throughout the US. Prior
to his current role Mr. Coates has managed the multinational client program for
ARCADIS. In this role, he was instrumental in developing and implementing a
program for effectively expanding and managing business development efforts with
multinational corporations. Having worked closely with Mr. Steve Blake
throughout the past decade and in successfully managing ARCADIS US, Mr. Coates
is considered an excellent CEO and COO for ARCADIS US.
Mr. Steven Blake (1956) has served as CEO of ARCADIS US for 16 years, was a
member of the ARCADIS Executive Board for 8 years, and has been part of ARCADIS
for 26 years. ARCADIS US grew its revenue five times over his tenure, while
improving bottom line performance ten times. Mr. Blake has successfully managed
a string of smaller acquisitions to grow the US business of ARCADIS and was
instrumental in the integration of larger mergers, such as that with BBL in
2005 and with Malcolm Pirnie in 2009, both of which delivered synergies for the
company. As a board member of RTKL, he helped that company through a phase of
successful internationalization.
Commenting on the nominations Mr. Rijnhard van Tets, Chairman of the Supervisory
Board of ARCADIS said: "We believe that Mr. Niek Hoek's extensive international
experience and knowledge of financial markets is important for ARCADIS, making
him a strong candidate to join our Supervisory Board. We thank Mr. Blake for his
strong contribution to the firm over the past decades and while we understand
his personal decision, we are sorry to see him leave. With Mr. Smith we have a
strong internal candidate to succeed Mr. Blake in the Executive Board, while in
Mr. Coates we have an excellent and well respected leader to lead our US
business in its next stage of growth."
